Public offer (Terms of service)
This document is a public offer by [Full name / legal name] (the “Provider”) under Article 437 of the Civil Code of the Russian Federation and contains all essential terms of access to the Lidogen service.
Paying for any plan constitutes full and unconditional acceptance of this offer (Article 438(3) of the Civil Code). If you do not agree, do not pay for or use the Service.
This is an English translation for convenience. In case of any discrepancy, the Russian version prevails.
1. Definitions
Service, Lidogen — software available via Telegram bots that lets you search businesses in public Yandex Maps listings, create and send messages from your Telegram accounts and receive replies in a Telegram group.
Website — https://lidogen.xyz and its pages.
User — a legally capable individual, sole proprietor or legal entity that accepted this offer.
Sales bot — the Telegram bot @lidogen_ai used to purchase access.
Client bot — a Telegram bot created by the User via @BotFather and connected to the Service to control its features.
Account — the User's Telegram account connected to the Service for sending messages.
Lead — a business (and its contact details) found by the User through the Service.
Subscription — a paid period of access under the chosen Plan.
2. Subject
2.1. The Provider grants the User access to the Service for the Subscription period, and the User pays for the chosen Plan.
2.2. Access includes: search of businesses by city, category and radius in public Yandex Maps data; filters and Excel/CSV export; AI-generated message texts; sending messages via the User's Accounts with delays, limits and scheduling; account status checks; forwarding replies to the User's Telegram group with a topic per Lead; technical support.
2.3. The Service is provided “as is”. The Provider does not guarantee any number of businesses found, replies, sales or other commercial results.
2.4. The Service is not a product of Yandex LLC or Telegram and is not affiliated with them. Yandex Maps and Telegram are trademarks of their owners.
3. Getting access
3.1. The User opens the Sales bot, chooses and pays for a Plan, and connects the Client bot by sending its token.
3.2. Access is activated after payment is confirmed — usually within minutes; for SBP transfers, after manual verification, usually within 24 hours.
3.3. The User keeps the Client bot token, Accounts and Telegram group secure. Actions taken through the User's Client bot are deemed the User's actions.
3.4. The User buys proxies from third-party providers and uses their own Accounts. These costs are not included in the price.
4. Plans and term
4.1. Current Plans and prices are listed on the Website and in the Sales bot. The price is fixed at the moment of payment.
4.2. The term starts at activation. Renewals add days to the remaining term.
4.3. There are no automatic charges.
4.4. Lifetime plan*. Access is provided without a fixed end date — for the entire period during which the Provider operates the Service. “Lifetime” does not oblige the Provider to operate the Service indefinitely. If the Provider decides to shut down the Service, Users will be notified at least 30 days in advance via the Sales bot and the Website. If the Service shuts down earlier than 12 months after a Lifetime purchase, the Provider refunds a share of its price proportional to the unused months out of those 12 months.
4.5. A Lifetime plan is tied to the purchasing Telegram account and cannot be transferred without the Provider's consent.
4.6. The Provider may grant free trial access limited in time and features.
5. Provider's rights and obligations
5.1. The Provider shall: provide access during the paid period; keep the Service operational and fix failures within a reasonable time; answer support requests; process personal data under the Privacy policy.
5.2. The Provider may: update and change features and the interface without materially worsening paid conditions; carry out maintenance, giving notice where possible; suspend access if the User breaches Section 7.
5.3. If the Service is unavailable through the Provider's fault for more than 24 consecutive hours, the Subscription is extended by the downtime.
6. User's rights and obligations
6.1. The User may use all features of the paid Plan, contact support, and cancel at any time under the Payment & refunds terms.
6.2. The User shall provide accurate data, use the Service lawfully, control the content of messages, and comply with Telegram rules, Yandex terms of use and applicable law.
7. Acceptable use
7.1. The User alone decides whom to message, when and with what content, and bears full responsibility for it. The Provider is not the sender of messages.
7.2. It is prohibited to use the Service for: advertising without the recipient's prior consent where such consent is required (incl. Article 18 of Russian Federal Law No. 38-FZ “On Advertising”); fraud, deception, threats or insults; prohibited content or goods; messaging private individuals without legal grounds; infringing third-party rights; circumventing Telegram restrictions or interfering with the Service.
7.3. We recommend sending businesses only relevant business offers and stopping at the recipient's first request.
7.4. Telegram and other platforms may restrict Accounts under their own rules. The Service helps reduce this risk but cannot eliminate it; an Account restriction is not a defect of the Service.
7.5. For breaches of 7.2 the Provider may suspend access after notice, and terminate it for serious or repeated breaches. Refunds are then calculated under the Payment & refunds terms, less the Provider's costs.
8. Lead data (processing on the User's behalf)
8.1. Lead contact details may be personal data. The User is the data controller for such data.
8.2. By accepting the offer, the User instructs the Provider to process Lead data on the User's behalf (Article 6(3) of Russian Federal Law No. 152-FZ) solely to run the Service features.
8.3. The Provider keeps such data confidential, protects it and does not use it for its own purposes. The User must have lawful grounds to process Lead data and message Leads.
8.4. The User can delete the Lead base at any time via the Client bot or support.
9. Liability
9.1. The parties are liable under Russian law.
9.2. The Provider is not liable for actions of Telegram, Yandex, proxy, AI or payment providers; restrictions of the User's Accounts; the content of the User's messages; lost profits of business Users.
9.3. For business Users, the Provider's total liability is limited to the amount paid for the current Subscription period. Consumer rights under Russian consumer protection law are not limited by this offer.
9.4. The User compensates the Provider for losses, fines and third-party claims arising from the User's breach of Section 7.
9.5. Force majeure, including restrictions by authorities and platforms, releases the parties from liability.
10. Intellectual property
10.1. All rights to the code, design, name and logo of Lidogen belong to the Provider.
10.2. Copying, decompiling, reselling access or creating derivative products without written consent is prohibited.
10.3. Lead bases created by the User and the User's message texts belong to the User.
11. Claims and disputes
11.1. Send claims to [e-mail для обращений] or Telegram @quboz. The Provider replies within 10 calendar days.
11.2. Disputes are resolved by negotiation, otherwise in court under Russian law. Consumers may sue at their place of residence.
12. Changes
12.1. The Provider may amend the offer. A new version is published on the Website and takes effect 10 days after publication unless stated otherwise.
12.2. Changes do not worsen the terms of an already paid period. A User who disagrees may cancel and get a refund for the unused period.
